1. Introduction
This document sets forth the terms and conditions ("Terms") governing participation in the Linkstub Ambassador Program ("Program") operated by MMJI CHILLZ, LLC, a Delaware limited liability company operating as Linkstub ("Linkstub," "we," "us," or "our"). By participating in the Program, you ("Participant," "Ambassador," "you," or "your") agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, you are not eligible to participate in the Program.
2. Program Description
The Linkstub Ambassador Program allows participants to refer event organizers to Linkstub and earn rewards based on the referred organizers' activity. Participants earn a commission on the net ticketing fees generated by their referrals.
3. Eligibility
3.1 Qualification
To participate in the Program, you must:
- Have an active Linkstub account in good standing.
- Comply with all applicable laws and regulations.
- Be accepted into the Program by Linkstub, which reserves the right to approve or deny any application in its sole discretion.
3.2 Ineligible Persons
The following are ineligible to participate in the Program:
- Current employees of Linkstub.
- Individuals or entities that operate competing event ticketing platforms.
- Individuals residing in territories subject to U.S. sanctions.
- Any person or entity that Linkstub, in its sole discretion, deems inappropriate for the Program.
4. Referral Process
4.1 Referral Method
To refer an event organizer to Linkstub, you must use your unique referral code or link provided by Linkstub. Referrals made through other means may not be tracked or credited to your account.
4.2 Valid Referral Criteria
A referral will be considered valid only when all of the following conditions are met:
- The referred organization must be new to Linkstub with no prior account or event history.
- The Ambassador must not have a controlling interest or ownership stake in the referred organization.
- The referral must be properly attributed through Linkstub's designated referral tracking system at the time of the referred organization's registration.
- The referred organization must not be simultaneously referred by multiple Ambassadors (first properly tracked referral will be honored).
- The referred organization must create and successfully process ticket sales for at least one event within 6 months of registration.
- Linkstub reserves the right to reject any referral that appears to be made in bad faith or that violates the spirit of the program.
Linkstub has sole discretion to determine whether specific referrals qualify for commission payments based on these criteria.
5. Reward Structure and Calculation
5.1 Commission Rate
Participants earn a commission on the net ticketing fees generated by their referrals. The default commission rate is 10%, but this rate may vary based on individual agreements with Linkstub.
5.2 Commission Calculation
Net ticketing fees are defined as gross fees minus credit card processing fees and other associated costs. Rewards are paid only on revenue actually received by Linkstub. Any refunds, chargebacks, or deductions will impact final payouts.
5.3 Commission Duration
Commissions will be paid on the referred organization's activity for as long as:
- The referred organization maintains an active account in good standing with Linkstub.
- The Ambassador maintains an active Stripe Connect (or an equivalent payment processor approved by Linkstub) account in good standing to allow commission disbursements.
- The Ambassador Program continues to exist.
- These Terms or any separate written agreement between you and Linkstub remain in effect.
5.4 Referral Structure
Referrals are single-tier only—Ambassadors earn rewards only from their direct referrals, not from subsequent referrals made by their referrals.
6. Payment Terms
6.1 Payment Schedule
Ambassador Program payments are processed once per month on the 15th of each month (or the next business day if the 15th falls on a weekend or holiday). These payouts only include funds earned through the end of the prior month.
6.2 Minimum Threshold
Ambassador Program payments are subject to a minimum threshold of $50 before disbursement occurs, unless otherwise agreed in writing. If the threshold is not met, earnings will roll over to the next monthly payout cycle.
6.3 Payment Method
All payouts are exclusively processed through Stripe Connected Accounts linked to your Linkstub profile. You are responsible for ensuring the accuracy of your payout information and keeping it updated.
6.4 Deductions
Any past negative balance or outstanding debt on your account shall be deducted from commissions or any other funds due to you.
7. Ambassador Responsibilities
7.1 Accurate Representation
As an Ambassador, you agree to:
- Accurately represent Linkstub and its services to potential referrals.
- Not make any guarantees or promises regarding Linkstub's services that are not expressly authorized by Linkstub.
- Disclose your participation in the Ambassador Program when promoting Linkstub to potential referrals.
- Not engage in any deceptive marketing practices.
7.2 Taxes
You shall be solely responsible for any taxes, contributions, or other obligations arising from your participation in the Program and the receipt of any commissions. Linkstub does not provide tax advice, and you should consult with your tax advisor regarding any tax implications of participating in the Program.
7.3 Compliance
You must comply with all program rules, guidelines, and instructions provided by Linkstub, which may be updated from time to time. Linkstub will make reasonable efforts to communicate such updates through the Dashboard or via email.
7.4 Brand Representation
You must represent the Linkstub brand in a professional and positive manner at all times. Linkstub may provide brand guidelines, marketing materials, and other resources that you must use in accordance with Linkstub's instructions.
8. Marketing Guidelines
8.1 Approved Marketing Methods
You may promote Linkstub through the following channels:
- Personal websites and blogs
- Social media accounts you own or operate
- Email communications to your network
- Word of mouth and in-person networking
- Other channels expressly approved by Linkstub in writing
8.2 Prohibited Marketing Methods
You shall not promote Linkstub through:
- Spam or unsolicited bulk communications
- Deceptive or misleading advertising
- Any illegal or unethical marketing practices
- Domain names containing Linkstub trademarks
- Representations that you are an employee or official representative of Linkstub
- Paid search advertisements or other paid promotions using Linkstub trademarks or variations thereof, unless you have received prior written approval from Linkstub
Paid promotion using Linkstub trademarks or brand elements is allowed only with prior written approval from Linkstub. To request approval:
- Submit your proposed promotional materials and campaign details to partnerships@linkstub.com with the subject line "Ambassador Paid Promotion Request"
- Include specifics about the proposed platform(s), budget, targeting, creative assets, and duration of the campaign
- Linkstub will review your request and respond within five (5) business days
- Approval decisions are made at Linkstub's sole discretion to prevent brand misuse and maintain consistency
- If approved, you must adhere strictly to any guidelines provided and may be required to make modifications as requested
- Approvals are campaign-specific and do not constitute blanket permission for all future paid promotions
Approved campaigns may be subject to monitoring, and Linkstub reserves the right to request changes or termination of the campaign if it determines the promotion no longer aligns with its brand standards or business interests.
8.3 Content Guidelines
All promotional content must:
- Be truthful and accurate
- Not infringe on any third party's intellectual property rights
- Comply with all applicable laws and regulations
- Adhere to Linkstub's brand guidelines
- Not be defamatory, obscene, or offensive
9. Program Changes and Termination
9.1 Program Modifications
Linkstub reserves the right to modify the Program at any time with reasonable notice, including changes to commission rates, payment thresholds, eligibility requirements, or any other aspect of the Program.
9.2 Termination by Linkstub
Linkstub may terminate your participation in the Program or the entire Program at any time, with or without cause, by providing notice to you. In the event of termination:
- You will receive any accrued commissions that meet the minimum threshold for payment.
- If accrued commissions do not meet the minimum threshold, Linkstub may, at its sole discretion, either pay the accrued amount or forfeit it.
- No additional commissions will accrue after the effective date of termination.
9.3 Termination by Participant
You may terminate your participation in the Program at any time by providing written notice to Linkstub. The same payment conditions apply as in section 9.2.
10. Prohibited Activities
You shall not engage in any of the following prohibited activities:
- Self-referrals or referring organizations in which you have direct ownership or control
- Creating fake events or manipulating transactions to generate rewards
- Engaging in misleading, deceptive, or fraudulent marketing practices
- Violating any applicable laws or regulations while promoting Linkstub
- Using spam, unauthorized advertisements, or misleading tactics to generate referrals
- Making unauthorized claims about Linkstub's services or offerings
- Damaging Linkstub's reputation or brand through inappropriate conduct
- Failing to comply with program rules, guidelines, or instructions
- Engaging in any activity that conflicts with Linkstub's interests
Linkstub reserves the right to withhold or revoke rewards for any referrals found to be fraudulent, misleading, or in violation of these Terms.
11. Relationship of Parties
Participants in the Ambassador Program are independent contractors and not employees, agents, partners, or joint venturers of Linkstub. Nothing in these Terms creates an employment relationship between Linkstub and any participant in the Program.
12. Indemnification
You shall indemnify and hold harmless Linkstub from any claims arising from your participation in the Program, including but not limited to claims related to your marketing activities, representations about Linkstub, or violations of applicable laws.
13. Confidentiality
As an Ambassador, you may have access to confidential information about Linkstub, including but not limited to business strategies, product plans, and marketing initiatives. You agree to maintain the confidentiality of this information and not disclose it to any third party without Linkstub's prior written consent.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.
15. Entire Agreement
These Terms constitute the entire agreement between you and Linkstub regarding your participation in the Ambassador Program and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and Linkstub regarding the Program.
By participating in the Linkstub Ambassador Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
