1. Introduction
This document sets forth the terms and conditions ("Terms") governing participation in the Linkstub Rebate Program ("Program") operated by MMJI CHILLZ, LLC, a Delaware limited liability company operating as Linkstub ("Linkstub," "we," "us," or "our"). By participating in the Program, you ("Merchant," "Organizer," "you," or "your") agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, you are not eligible to participate in the Program.
2. Program Description
The Linkstub Rebate Program offers select Merchants a monetary rebate defined as a percentage of all net ticketing fees earned by Linkstub from the Merchant's events on the Linkstub platform.
3. Eligibility
3.1 Qualification
The Rebate Program is not a default offering but is part of a customized engagement approved by Linkstub and made by a Linkstub representative. Participation in the Program is at Linkstub's sole discretion.
3.2 Application
Rebates are applied to organizations/companies, not to individuals, and only when explicitly agreed upon and documented. The specific rebate percentage, payment process, timeline, and other terms are determined on a case-by-case basis as part of the Merchant's deal with Linkstub.
3.3 Eligibility Criteria
To maintain eligibility for the Program, you must:
- Be in good standing with Linkstub with no violations of the Master Services Agreement.
- Maintain an active Merchant account on the Linkstub platform.
- Comply with all applicable laws and regulations in connection with your use of Linkstub's services.
- Meet any additional criteria specified in your individual agreement with Linkstub.
4. Reward Structure and Calculation
4.1 Rebate Calculation
Your rebate will be calculated based on the net ticketing fees generated by your events. Net ticketing fees are defined as gross fees minus credit card fees and other expenses related to cost of processing.
4.2 Exclusions
The following are excluded from rebate calculations:
- Refunded transactions
- Chargebacks
- Fraudulent transactions
- Transactions in violation of Linkstub's Terms of Service
- Processing fees charged by payment processors
- Any other deductions as specified in your individual agreement
5. Payment Terms
5.1 Payment Schedule
Rebate payments are processed once per month on the 15th of each month (or the next business day if the 15th falls on a weekend or holiday). These payouts only include funds earned through the end of the prior month.
5.2 Minimum Threshold
Rebate Program payments are subject to a minimum threshold of $200 before disbursement occurs, unless otherwise agreed in writing. If the threshold is not met, earnings will roll over to the next monthly payout cycle.
5.3 Payment Method
All payouts are exclusively processed through Stripe Connected Accounts linked to your Linkstub profile. You are responsible for ensuring the accuracy of your payout information and keeping it updated.
5.4 Deductions
Any past negative balance or outstanding debt on your account shall be deducted from rebates or any other funds due to you.
6. Participant Responsibilities
6.1 Taxes
You shall be solely responsible for any taxes, contributions, or other obligations arising from your participation in the Program and the receipt of any rebates. Linkstub does not provide tax advice, and you should consult with your tax advisor regarding any tax implications of participating in the Program.
6.2 Compliance
You must comply with all program rules, guidelines, and instructions provided by Linkstub, which may be updated from time to time. Linkstub will make reasonable efforts to communicate such updates through the Dashboard or via email.
6.3 Brand Representation
You must represent the Linkstub brand in a professional and positive manner at all times. Linkstub may provide brand guidelines, marketing materials, and other resources that you must use in accordance with Linkstub's instructions.
7. Program Changes and Termination
7.1 Program Modifications
Linkstub reserves the right to modify the Program at any time with reasonable notice, including changes to rebate percentages, payment thresholds, eligibility requirements, or any other aspect of the Program.
7.2 Termination by Linkstub
Linkstub may terminate your participation in the Program or the entire Program at any time, with or without cause, by providing notice to you. In the event of termination:
- You will receive any accrued rebates that meet the minimum threshold for payment.
- If accrued rebates do not meet the minimum threshold, Linkstub may, at its sole discretion, either pay the accrued amount or forfeit it.
- No additional rebates will accrue after the effective date of termination.
7.3 Termination by Participant
You may terminate your participation in the Program at any time by providing written notice to Linkstub. The same payment conditions apply as in section 7.2.
8. Prohibited Activities
You shall not engage in any of the following prohibited activities:
- Creating fake events or manipulating transactions to generate rebates
- Engaging in misleading, deceptive, or fraudulent business practices
- Violating any applicable laws or regulations while using Linkstub's services
- Making unauthorized claims about Linkstub's services or offerings
- Damaging Linkstub's reputation or brand through inappropriate conduct
- Failing to comply with program rules, guidelines, or instructions
- Engaging in any activity that conflicts with Linkstub's interests
Linkstub reserves the right to withhold or revoke rebates for any activities found to be fraudulent, misleading, or in violation of these Terms or the Master Services Agreement.
9. Relationship of Parties
Participants in the Program are independent contractors and not employees, agents, partners, or joint venturers of Linkstub. Nothing in these Terms creates an employment relationship between Linkstub and any participant in the Program.
10. Indemnification
You shall indemnify and hold harmless Linkstub from any claims arising from your participation in the Program, including but not limited to claims related to your activities, representations about Linkstub, or violations of applicable laws.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.
12. Entire Agreement
These Terms, together with the Master Services Agreement and any individual agreement you may have with Linkstub regarding the Program, constitute the entire agreement between you and Linkstub regarding your participation in the Program.
By participating in the Linkstub Rebate Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
