Terms of Service

These Terms of Service ("Agreement") are entered into by and between MMJI CHILLZ, LLC, a Delaware limited liability company ("Linkstub," "we," "us," or "our"), and the individual accessing or using Linkstub's services ("User," "Attendee," "you," or "your"). This Agreement governs your access to and use of Linkstub's online ticketing platform and related services (collectively, the "Services"). By using the Services, you agree to comply with and be bound by this Agreement. If you do not agree with any part of this Agreement, you must discontinue your use of the Services immediately.


1. DEFINITIONS AND INTERPRETATION

1.1 Definitions

For the purposes of this Agreement:

  • "Attendee" refers to any individual purchasing or otherwise obtaining a ticket to an event through Linkstub.
  • "Content" means all text, images, videos, audio, or other material uploaded, shared, or displayed through the Services.
  • "Data Protection Laws" means all applicable laws, regulations, and binding guidelines relating to the processing of personal data and privacy, including but not limited to the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and similar regulations in relevant jurisdictions.
  • "Effective Date" means the date on which you first access or use the Services, thereby accepting the terms of this Agreement.
  • "Event" means any gathering, performance, conference, or similar activity for which you purchase tickets or register through the Services.
  • "Fees" refers to all charges payable by you for the purchase of tickets or other services, including but not limited to ticket prices, service fees, and processing fees.
  • "Force Majeure" means circumstances beyond a party's reasonable control that prevent them from fulfilling contractual obligations, such as natural disasters, acts of terrorism, strikes, cyberattacks, epidemics, pandemics, or governmental regulations.
  • "Organizer" refers to the individual or entity that creates and manages Events for which tickets are sold through Linkstub.
  • "Privacy Policy" means Linkstub's privacy policy, as updated from time to time, which describes how we collect, use, and disclose personal information.
  • "Refund Policy" means the specific terms or guidelines concerning the refund or cancellation of ticket purchases, as established by the Event Organizer.
  • "Services" means the online ticketing platform and related services provided by Linkstub to Users.
  • "Third-Party Services" means any services, software, or products provided by entities other than Linkstub that integrate with or are used in connection with the Services.
  • "User Data" means all data collected from you in connection with your use of the Services, including personal information, transaction data, and Event attendance information.

1.2 Interpretation

The headings in this Agreement are for convenience only and do not affect its interpretation. References to "including" mean "including but not limited to." Any ambiguities in this Agreement shall not be construed against the drafting party. The singular includes the plural and vice versa. Unless otherwise specified, references to Sections are to sections of this Agreement. The words "herein," "hereof," and "hereunder" refer to this Agreement as a whole. References to any legislation or legislative provision include any statutory modification or re-enactment of, or legislative provision substituted for, and any subordinate legislation issued under, that legislation or legislative provision. If any provision of this Agreement is held to be unenforceable, the remaining provisions shall continue in full force and effect.


2. USER ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 User Eligibility

You must be 13 years of age or older to use the Services. If you are under the age of 13, you may use the Services only with the involvement and supervision of a parent or guardian. By accessing or using the Services, you represent and warrant that you are 13 years of age or older and have the legal capacity to enter into this Agreement.

2.2 Account Registration

To access certain features of the Services, you may need to register for an account. When you register for an account, you must provide accurate and complete information, including your name, email address, and payment information. You are responsible for maintaining the confidentiality of your account information, and you are responsible for all activities that occur under your account. You agree to immediately notify Linkstub of any unauthorized use of your account or any other breach of security.

Your responsibilities include:

  • Keeping your account information up to date, including contact details and payment information.
  • Ensuring that your account is not accessed or used by unauthorized third parties.
  • Creating strong, unique passwords and implementing additional security measures when available, such as two-factor authentication.
  • Not sharing account credentials with unauthorized individuals.
  • Logging out of your account when using public or shared devices.
  • Promptly reporting any suspicious activity on your account to Linkstub's security team.

Linkstub reserves the right to verify the information provided during account registration and may request additional documentation for identity verification purposes. Providing false or misleading information may result in immediate account termination.

2.3 Account Termination

Linkstub retains the right to suspend or terminate accounts for reasons including, but not limited to, suspected fraudulent activity, violation of this Agreement, or other actions that risk harm to our platform or community. If your account is terminated, you remain responsible for any outstanding obligations, and Linkstub shall not be liable for any loss of data or access related to the closure of your account.

You may terminate your account at any time by following the account closure procedures in your account settings or by contacting us at support@linkstub.com. Upon termination:

  1. You will lose access to all features and functions of the Services.
  2. You remain liable for any outstanding fees or obligations incurred prior to termination.
  3. Linkstub will retain your data for a limited period as required by law or for legitimate business purposes.
  4. Certain provisions of this Agreement will survive termination, including payment obligations, confidentiality requirements, and indemnification provisions.

3. SERVICES AND TICKETING

3.1 Ticket Purchases

Linkstub provides a platform that enables you to purchase tickets and register for various types of Events organized by third-party Organizers. When you purchase a ticket through the Services, you are entering into a transaction with the Event Organizer, not with Linkstub. Linkstub acts as an intermediary and facilitates the transaction between you and the Organizer.

By purchasing tickets through the Services, you acknowledge and agree that:

  1. Linkstub is not responsible for the actual performance, content, quality, or execution of any Event.
  2. The Organizer, not Linkstub, is responsible for establishing ticket prices, refund policies, and accurately detailing all relevant aspects of the Event.
  3. Your attendance at an Event is subject to the Organizer's terms and conditions, which may be in addition to this Agreement.
  4. You will comply with all venue-specific rules and regulations applicable to the Event.
  5. Linkstub cannot guarantee the availability of tickets for any specific Event.
  6. Linkstub is not responsible for any changes to Event details, such as date, time, venue, or performer changes, which are the responsibility of the Organizer.

3.2 Fees and Payment

When you purchase tickets through the Services, you agree to pay all applicable fees, including ticket prices, service fees, and processing fees. All fees are displayed at checkout before you complete your purchase. By proceeding with the purchase, you authorize Linkstub to charge the total amount to your selected payment method.

You acknowledge and agree that:

  1. All ticket prices and fees are determined at the sole discretion of Linkstub and the Event Organizer.
  2. Fees are non-refundable unless otherwise specified or required by law.
  3. All payments are processed through secure third-party payment processors, such as Stripe.
  4. You must provide accurate and complete payment information.
  5. You are responsible for any taxes applicable to your purchase.
  6. Linkstub reserves the right to change its fee structure at any time.

3.3 Refund Policy

All ticket purchases made through the Services are subject to the Refund Policy established by the Event Organizer. Linkstub does not control or establish these policies and is not responsible for processing refunds unless specifically authorized by the Organizer. In general, all ticket purchases are final and non-refundable unless otherwise specified by the Organizer.

If you wish to request a refund, you must:

  1. Review the Refund Policy of the specific Event, which is available at the time of purchase.
  2. Contact the Event Organizer directly using the contact information provided on the Event page.
  3. Follow the Organizer's specific procedures for requesting a refund.

In certain limited circumstances, such as Event cancellation or significant changes to Event details, Linkstub may facilitate refunds on behalf of Organizers. However, the decision to issue refunds ultimately rests with the Organizer.

3.4 Ticket Transfer and Resale

Unless explicitly permitted by the Event Organizer, tickets purchased through the Services may not be resold, transferred, or offered for resale at a premium. Any tickets obtained in violation of this provision may be canceled without notice and without refund or other compensation. You acknowledge that Linkstub and the Event Organizer reserve the right to cancel tickets that have been transferred or resold in violation of this provision.

3.5 Event Changes and Cancellations

Events may be postponed, rescheduled, or canceled at the discretion of the Event Organizer. Linkstub is not responsible for any changes to Event details or for Event cancellations. In the event of a change or cancellation, Linkstub will make reasonable efforts to notify you using the contact information provided in your account. However, it is your responsibility to verify the status of the Event before attending.

In case of Event cancellation, the Organizer's Refund Policy will determine whether you are entitled to a refund. Linkstub is not responsible for any additional costs you may incur related to Event changes or cancellations, such as travel expenses or accommodation.


4. USER CONDUCT AND PROHIBITED ACTIVITIES

4.1 General Conduct

When using the Services, you agree to act in a respectful and lawful manner. You shall not use the Services to:

  1. Violate any applicable laws, regulations, or third-party rights.
  2. Engage in or promote discriminatory practices based on race, color, religion, gender, gender identity, sexual orientation, national origin, disability, age, or any other legally protected characteristic.
  3. Harass, intimidate, or threaten other users or Linkstub employees.
  4. Disrupt or interfere with the experience of other users.
  5. Impersonate any person or entity, including Linkstub employees or representatives.
  6. Provide false or misleading information.

4.2 Prohibited Activities

You shall not use the Services to:

  1. Engage in fraudulent activities, including purchasing tickets with stolen payment information.
  2. Attempt to circumvent any security measures or access controls implemented by Linkstub.
  3. Use automated systems, bots, scripts, or other technological means to access the Services, purchase tickets, or collect information from the Services.
  4. Distribute malware, spyware, or other malicious code.
  5. Engage in activities that could overload, disable, or impair the functionality of the Services.
  6. Reverse engineer, decompile, or attempt to extract the source code of the Services.
  7. Create multiple accounts to circumvent restrictions or limitations.
  8. Purchase tickets for the purpose of reselling them at a premium.
  9. Publish, post, upload, or distribute any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable.
  10. Use the Services for any high-risk activities, including the operation of critical infrastructure, emergency services, or any application where failure could lead to death, personal injury, or environmental damage.

Violation of these prohibitions may result in immediate termination of your account and may subject you to legal liability.


5. PRIVACY AND DATA PROTECTION

5.1 Privacy Policy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the Services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

5.2 User Data

When you use the Services, we collect certain information from you, including but not limited to:

  1. Account information, such as your name, email address, and password.
  2. Transaction information, such as ticket purchases and payment details.
  3. Usage information, such as your interactions with the Services.
  4. Device information, such as IP address, browser type, and operating system.

This information is used to provide and improve the Services, process transactions, communicate with you, and comply with legal obligations. We may share your information with Event Organizers as necessary to facilitate your ticket purchases and Event attendance.

5.3 Communication and Marketing

By creating an account or purchasing tickets through the Services, you may receive communications from Linkstub and/or Event Organizers. These communications may include:

  1. Transactional messages related to your ticket purchases.
  2. Event-related updates and information.
  3. Customer service communications.
  4. Marketing and promotional messages, if you have opted in to receive them.

You can opt out of marketing communications at any time by following the unsubscribe instructions in the communication or by updating your preferences in your account settings.


6. COMMUNICATION SERVICES

6.1 SMS Services

Message Sender Information: SMS messages you receive through our platform may come from different sources depending on the type of phone number used to send them:

  • Short Code Numbers: Messages sent from short code numbers (typically 5-6 digits) registered to Linkstub are sent exclusively by Linkstub itself, not by any third party. These messages may include platform-wide services such as account verification, security alerts, transaction confirmations, and Linkstub's own marketing materials.
  • Toll-Free Numbers, 10DLC (10-Digit Long Codes), or Sender IDs: Messages sent from these types of numbers may be sent by either Linkstub or its Affiliates (which may include Event Organizers, Merchants, Promoters, and other third parties on the Linkstub platform). These messages typically relate to specific events, marketing communications, or promotional content from the organizations whose events you've shown interest in.

By opting in to receive SMS messages from Linkstub and Event Organizers, you agree to be bound by the following terms and conditions:

  1. SMS Service Description: Linkstub provides SMS services that allow users to receive important updates, notifications, promotional messages, one-time passwords (OTP), and two-factor authentication (2FA) codes via SMS. These messages may include but are not limited to account notifications, alerts, marketing materials, promotions, and offers.

  2. Consent to Receive SMS Messages: By opting in to receive SMS messages, you acknowledge and agree that you are the authorized user of the mobile phone number provided or that you have obtained consent from the authorized user to receive SMS messages.

  3. Message Frequency: The frequency of SMS messages may vary depending on your interaction with Linkstub. You understand and agree that the number of messages you receive may increase or decrease over time. For recurring messages, frequency will be disclosed at the time of opt-in. For one-time password (OTP) and verification purposes, you will receive one message per request.

  4. Fee Disclosure: Message and data rates may apply. These rates are determined by your mobile service provider.

  5. Carrier Liability: Carriers are not liable for delayed or undelivered messages.

  6. Opting Out: If you wish to stop receiving SMS messages, you can opt out by replying with the keyword "STOP" to any received message. Once you opt out, you will no longer receive SMS messages unless you opt back in.

  7. Privacy and Data Collection: Information about how we collect, use, and share your personal information is available in our Privacy Policy.

  8. Message Delivery: Linkstub will make reasonable efforts to deliver SMS messages in a timely manner. However, we do not guarantee the delivery or timeliness of any SMS message.

  9. Customer Care Information: For any questions, concerns, or assistance, reply "HELP" for assistance, or email support@linkstub.com.

6.2 Email Communications

By providing your email address and using the email messaging services, you acknowledge and agree to the following:

  1. Email Service Description: Linkstub provides email messaging services that allow users to receive important updates, notifications, promotional messages, and other relevant information via email. These messages may include but are not limited to account notifications, alerts, marketing materials, promotions, and offers.

  2. Consent to Receive Email Messages: By providing your email address, you acknowledge and agree that you are the authorized user of the email address provided or that you have obtained consent from the authorized user to receive email messages.

  3. Message Content: The content of the email messages sent by Linkstub and Event Organizers may include general information, promotional offers, product updates, marketing materials, and other relevant information related to Linkstub and Events.

  4. Message Frequency: The frequency of email messages may vary depending on your interaction with Linkstub. You understand and agree that the number of messages you receive may increase or decrease over time.

  5. Opting Out: If you wish to stop receiving email messages, you can opt out by using the unsubscribe link provided in the email or by updating your preferences in your account settings. Once you opt out, you will no longer receive email messages from Linkstub unless you opt back in.

7. DISPUTE RESOLUTION

7.1 Dispute with Linkstub

If you have a dispute with Linkstub, you agree to first attempt to resolve the dispute informally by contacting Linkstub at support@linkstub.com. Linkstub will attempt to resolve the dispute by contacting you via email. If a dispute is not resolved within thirty (30) days of submission, either party may bring a formal proceeding.

For any dispute or claim (excluding claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, the party requesting relief may elect to resolve the dispute through binding non-appearance-based arbitration. The arbitration shall be conducted through an established alternative dispute resolution provider mutually agreed upon by the parties. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association Consumer Arbitration Rules. The arbitration can decide only your or Linkstub's individual claims, and the arbitrator may not consolidate or join the claims of other persons or parties. The arbitrator shall issue a written decision containing findings and conclusions. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

7.2 Disputes with Event Organizers

Disputes related to Events, including but not limited to Event cancellation, postponement, or the quality of the Event, should be directed to the Event Organizer. Linkstub is not responsible for resolving disputes between you and Event Organizers. However, Linkstub may, at its sole discretion, assist in facilitating communication between you and the Event Organizer.

7.3 No Class Actions

You and Linkstub agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Unless both you and Linkstub agree otherwise, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.


8. LIABILITY AND INDEMNIFICATION

8.1 Limitation of Liability

To the fullest extent permitted by law, Linkstub and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your use of the Services or this Agreement, even if Linkstub has been advised of the possibility of such damages. In no event shall Linkstub's liability exceed the amount paid by you to Linkstub for the specific transaction giving rise to the claim.

This limitation of liability applies to all claims, whether based on warranty, contract, tort, or any other legal theory, and whether or not Linkstub has been advised of the possibility of such damages. This limitation applies to all Services and aspects of the Linkstub platform, including but not limited to:

  1. Platform availability and performance.
  2. Security incidents or data breaches, except as required by applicable data protection laws.
  3. Errors or inaccuracies in the Services.
  4. Third-party services integrated with the Linkstub platform.
  5. Actions taken by Linkstub to comply with laws or regulations.
  6. Decisions made by Linkstub regarding account termination or suspension.
  7. Changes to features, functionality, or terms of service.
  8. Disputes between you and Event Organizers or other third parties.

Certain jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you. In such jurisdictions, Linkstub's liability is limited to the greatest extent permitted by law.

8.2 Indemnification

You agree to defend, indemnify, and hold harmless Linkstub, its officers, directors, employees, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorney fees) arising from your actions, including but not limited to breaches of this Agreement, violations of applicable laws, or disputes with Event Organizers or other users. This duty of indemnification survives the termination or expiration of this Agreement.

8.3 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LINKSTUB DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Linkstub does not guarantee:

  1. That the Services will meet your specific requirements or expectations.
  2. That defects in the Services will be corrected.
  3. That the Services will be available at any particular time or location.
  4. The accuracy, reliability, or completeness of any information provided through the Services.
  5. That the results obtained from using the Services will be effective, accurate, or reliable.
  6. The quality of any events, services, information, or other material purchased or obtained through the Services.
  7. That third-party integrations will continue to function or remain available.

These disclaimers apply to all aspects of the Services, including any advice or recommendations provided by Linkstub or its representatives. No advice or information, whether oral or written, obtained from Linkstub or through the Services will create any warranty not expressly stated in this Agreement.

8.4 Force Majeure

Neither party shall be liable for any failure or delay in performance under this Agreement (other than for payment obligations) due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, acts of war or terrorism, riots, civil disorders, rebellions, fires, floods, sabotage, power outages, telecommunications or internet failures, acts or omissions of third parties, or governmental actions.

If a force majeure event continues for more than thirty (30) consecutive days, either party may terminate this Agreement upon written notice to the other party, without liability for such termination.


9. INTELLECTUAL PROPERTY RIGHTS

9.1 Linkstub Intellectual Property

All right, title, and interest in and to the Linkstub platform, including all intellectual property rights, remain the exclusive property of Linkstub and its licensors. Nothing in this Agreement transfers any rights in the Linkstub platform to you except for the limited license expressly granted herein.

Protected elements include, but are not limited to:

  1. Software code, algorithms, and architecture.
  2. User interface designs and visual elements.
  3. Logos, trademarks, and brand identifiers.
  4. Documentation, tutorials, and knowledge base content.
  5. Data structures and organizational schemas.
  6. Proprietary methods and processes.
  7. Patents, patent applications, and trade secrets.
  8. Copyrighted works and derivative works.

You agree not to:

  1. Copy, modify, or create derivative works based on the Linkstub platform.
  2. Reverse engineer, decompile, or disassemble the Linkstub platform.
  3. Remove, obscure, or alter any proprietary notices on the Linkstub platform.
  4. Sell, license, sublicense, or otherwise transfer rights to the Linkstub platform.
  5. Use the Linkstub platform for purposes not authorized by this Agreement.
  6. Attempt to gain unauthorized access to the Linkstub platform or related systems.

9.2 User-Generated Content

If you submit any content to Linkstub, such as reviews, comments, or feedback, you retain ownership of such content, but you grant Linkstub a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any form, media, or technology. This license terminates when you remove the content from your account or when you close your account, except to the extent required for legal or regulatory compliance purposes.

You represent and warrant that:

  1. You own the content you submit or have the right to grant the license described above.
  2. The content does not infringe upon or misappropriate any intellectual property rights, privacy rights, publicity rights, or other rights of any third party.
  3. The content does not violate any applicable laws, regulations, or obligations.
  4. The content is not defamatory, obscene, harmful, or otherwise objectionable.

10. CHANGES TO AGREEMENT

10.1 Modifications by Linkstub

Linkstub reserves the right to modify this Agreement at any time by posting the revised Agreement on our website or by providing notice through the Services, via email, or by other reasonable means. The modified Agreement will become effective upon posting or as otherwise specified in the notice. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the modified Agreement.

Material changes to the Agreement will be communicated as follows:

  1. For significant changes affecting your rights or obligations, Linkstub will provide at least thirty (30) days' notice before the changes take effect.
  2. For minor changes or changes required by law, Linkstub may provide shorter notice periods or implement changes immediately.

You are responsible for reviewing the Agreement periodically to remain informed of any changes. If you do not agree to any modified terms, you must stop using the Services and terminate your account.


11. MISCELLANEOUS

11.1 Entire Agreement

This Agreement, together with any additional terms and conditions that may apply to specific areas of the Services, constitutes the entire agreement between you and Linkstub with respect to your use of the Services. Any other agreements, understandings, or representations (whether oral or written) that relate to the subject matter of this Agreement are hereby superseded and canceled.

11.2 Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.

11.3 No Waiver

No failure or delay by either party in exercising any right under this Agreement shall constitute a waiver of that right. No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

11.4 Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, and each party consents to the personal jurisdiction and venue of such courts.

11.5 Notices

All notices required or permitted under this Agreement shall be in writing and shall be deemed effectively given: (a) upon personal delivery to the party to be notified; (b) when sent by confirmed electronic mail if sent during normal business hours of the recipient, and if not, then on the next business day; (c) five days after having been sent by registered or certified mail, return receipt requested, postage prepaid; or (d) one day after deposit with a nationally recognized overnight courier, specifying next-day delivery, with written verification of receipt.

Notices to you shall be sent to the email address associated with your account or to such other address as you may designate in writing.

11.6 Survival

Any provisions of this Agreement that by their nature should survive termination of this Agreement shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.

By using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
